1. Who these terms apply to

These terms apply when you use the WK Digital website, make an enquiry, book a strategy session, or engage WK Digital for software, AI, automation, website, hosting, support, or related digital services.

If we agree a proposal, statement of work, service agreement, or other signed contract with you, that agreement will apply to the project and will take priority if there is any inconsistency with these website terms.

2. About WK Digital

WK Digital (ABN 63 129 439 738) is an Australian software development company based at 19/10 Eagle Street, Brisbane QLD 4000. We build custom software, AI integrations, operational platforms, websites, hosting environments, and digital systems for Australian organisations.

3. Website use

You may use this website for lawful business and information purposes. You must not attempt to interfere with the website, misuse forms, introduce malicious code, scrape the site in a way that affects service availability, or use the site to infringe another person's rights.

The information on this website is general in nature. It is not legal, financial, governance, clinical, or compliance advice. You should obtain professional advice for decisions that require it.

4. Proposals, scope, and changes

Project pricing, inclusions, deliverables, timelines, assumptions, and exclusions will be set out in the relevant proposal or statement of work. Any work outside the agreed scope may require a separate estimate, variation, or approval before it proceeds.

Timelines depend on timely access to content, systems, approvals, feedback, and third-party services. Delays in receiving required information or approvals may affect delivery dates.

5. Client responsibilities

You are responsible for providing accurate information, reviewing deliverables, approving work, supplying required licences or credentials, and making sure you have the right to use any content, data, images, trade marks, or third-party materials you provide to us.

Where a project involves AI, automation, reporting, governance workflows, or operational decision support, you remain responsible for reviewing outputs and making final business decisions unless otherwise agreed in writing.

6. Fees, invoices, and payment

Fees and payment terms will be set out in the relevant proposal, invoice, or agreement. Unless otherwise agreed, invoices are payable by the due date shown on the invoice. Late payment may delay delivery, support, hosting, or access to services.

For recurring services such as hosting, maintenance, retainers, licences, monitoring, support, or managed systems, charges may continue until cancelled in accordance with the agreed terms.

7. Hosting, domains, and third-party services

Hosting, domain names, software licences, plugins, APIs, cloud services, email services, and third-party platforms may be provided by external suppliers. Their terms, availability, pricing, limits, and service changes may affect the services we provide to you.

You are responsible for renewing domains, licences, accounts, and third-party subscriptions unless WK Digital has expressly agreed to manage them for you. If a third-party service is suspended, changed, or discontinued, we are not responsible for loss caused by that supplier's actions.

8. Intellectual property

Unless otherwise agreed in writing, you own the final custom materials, content, and software deliverables that we create specifically for you once all related invoices are paid. WK Digital retains ownership of our pre-existing tools, know-how, frameworks, reusable code, methods, templates, and internal processes.

We may use general skills, ideas, experience, and non-confidential know-how gained through our work to improve future services and products.

9. Confidentiality and data

We treat confidential client information with care and use it only for the purpose of providing services, support, or advice. You must not provide sensitive, regulated, or personal information to WK Digital unless it is necessary for the agreed work and appropriate safeguards have been discussed.

10. Warranties and liability

We aim to provide services with reasonable care and skill. To the extent permitted by law, WK Digital excludes liability for indirect loss, loss of profit, loss of revenue, loss of data, business interruption, or consequential loss arising from use of this website or our services.

Nothing in these terms excludes any guarantee, right, or remedy that cannot be excluded under Australian Consumer Law or other applicable law.

11. Changes to these terms

We may update these terms from time to time. The latest version will be published on this page. Continued use of the website or services after changes are published means you accept the updated terms, unless a separate signed agreement applies.
